Sigma CLI License Agreement

This Sigma CLI License Agreement (“License”) is entered into by and between Sigma Computing, Inc., a Delaware corporation with offices at 116 New Montgomery St., #700, San Francisco, CA 94105 (“Sigma” or “Licensor”) and the person or organization that downloads, installs, or uses Sigma CLI (defined below), (“Licensee” or “you”).

BY DOWNLOADING, INSTALLING, OR USING SIGMA CLI, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THE TERMS OF THIS LICENSE AND AGREE TO BE BOUND BY THE TERMS OF THIS LICENSE. If the person accepting this License is an individual acting on behalf of an organization, “you” or “Licensee” refers to the organization the person represents. If an individual is accessing, downloading, installing, or using Sigma CLI on behalf of an organization, for the benefit of an organization, and/or as part of the work performed for an organization, such individual is considered to be acting on behalf of the organization. IF THE PERSON ACCEPTING THE LICENSE IS AN INDIVIDUAL AND IS ACCEPTING THIS LICENSE ON BEHALF OF AN ORGANIZATION, SUCH PERSON REPRESENTS AND WARRANTS THAT THEY HAVE THE AUTHORITY TO BIND SUCH ORGANIZATION TO THIS LICENSE. ALL USE OF SIGMA CLI IS GOVERNED BY THIS LICENSE. READ THIS LICENSE CAREFULLY. THIS LICENSE IS A LEGAL AND ENFORCEABLE CONTRACT BETWEEN YOU AND SIGMA.

The parties therefore agree as follows:

1. Sigma CLI, Sigma APIs, and the Service.

1.1 The Service and Sigma APIs. Sigma is the owner and provider of a cloud-based intelligence and data analytics platform (the “Sigma Platform”) and associated services that enables Customers to query, analyze, and visualize the data within their connected data sources (collectively the “Service”). Subscriptions to access and use the Service (“Subscription(s)”) may be purchased upon the payment of applicable fees and due execution of Sigma’s Main Service Agreement (available at https://www.sigmacomputing.com/legal/msa), or a separate written agreement with Sigma that governs such Subscriptions (each a “Customer Agreement(s)”). Any person or legal entity with an active Subscription under a valid Customer Agreement is a “Customer”, and any persons who use or access the Service on a Customer’s behalf and upon authorization by such Customer are “Users”. Users need valid login credentials (including usernames, passwords, and/or OAuth credentials) to access and use the Service (“User Credentials”). “Sigma API(s)” means the application programming interfaces (APIs), accompanying documentation, software development kits, source code, executable applications, and other relevant materials made available by Sigma to a Customer subject to the terms of the applicable Customer Agreement during a Subscription. Sigma APIs are a part of the Service, and may be used only upon authentication using valid API Credentials. “API Credential(s)” collectively means (a) the unique identifiers assigned to the Customer for the purpose of accessing Sigma APIs within the Sigma Platform (“Client ID”), and (b) the corresponding confidential authentication keys used together with the Client ID to verify the Customer’s identity to Sigma’s authentication service (“Client Secret”). This License does not apply to Customer’s use of the Sigma Platform, the Service or Sigma APIs.

1.2 Sigma CLI. “Sigma CLI” is a command-line interface (CLI) software that Sigma makes publicly available for download and installation under the terms of this License, together with any updates, bug fixes, or new versions of the software that Sigma distributes. For avoidance of doubt, (a) Sigma CLI is not a part of the Service, and (b) Sigma’s distribution of Sigma CLI and your installation, download, or use of Sigma CLI is governed solely by this License. Notwithstanding Section 1.2 (b) above, your access to and use of the Service (including Sigma APIs) through or using Sigma CLI remains subject to the applicable Customer Agreement in addition to this License.

1.3 Use with Sigma APIs. To call, use, or make requests to any public Sigma APIs using Sigma CLI, you will need to first complete the authentication process by either (a) providing valid API Credentials issued by Sigma to Customers, or (b) using your User Credentials to login to the Customer’s Service instance and taking the required authentication steps. Only active Customers and their Users will be able to generate and/or provide the API Credentials and User Credentials (collectively, “Credentials”) required for authentication and to use Sigma CLI to call, use, or make requests to public Sigma APIs. Upon successful verification of your Credentials, Sigma’s authentication service issues short-lived access tokens to Sigma CLI (“API Tokens”). API Tokens are ephemeral, stored locally on your device by Sigma CLI during operation, and refreshed automatically.

1.4 Distribution and License Grant. Sigma makes Sigma CLI publicly available for download and installation at https://assets.sigmacomputing.com/sigcli/releases/latest/sigcli-installer.sh. Subject to your compliance with this License and CLI Documentation, Sigma grants you a revocable, limited, non-exclusive, non-transferable, non-sublicensable license (a) to download, install, and run Sigma CLI on systems owned or controlled by you, and (b) if you are a Customer (or User) with valid Credentials, to use Sigma CLI to access, use, and interact with the Service and public Sigma APIs solely for your internal business purposes and solely to the extent permitted by Customer’s current Subscription and Customer Agreement. Sigma CLI is licensed, not sold. Sigma reserves all rights not expressly granted by this License. No rights are implied. “CLI Documentation” means the technical documentation and usage guides for Sigma CLI that are published by Sigma from time to time.

1.5 Use Restrictions and Responsibilities. You agree that you will not (and will not permit any third-party to), directly or indirectly, (a) use Sigma CLI for any commercial purposes or any competitive purposes, including offering it or functionality derived from it as a product or service to any third party, (b) modify, translate, copy, or create derivative works based on Sigma CLI or the Service, (c) reverse assemble, reverse compile, reverse engineer, decompile or otherwise attempt to discover the object code, source code, or non-public APIs, except as and only to the extent this restriction is prohibited by law, (d) distribute, redistribute, license, sublicense, sell, resell, rent, lease, transfer, assign, time share, make Sigma CLI available to any third party, or otherwise deal in Sigma CLI, (e) remove or obscure any copyright, trademark or other proprietary notices, legends or Sigma branding contained in or on Sigma CLI, (f) use Sigma CLI in any way that violates any applicable federal, state, local or international law or regulation (“Applicable Law”), (g) attempt to gain unauthorized access to, circumvent any technical or access controls in, interfere with, damage or disrupt any parts of Sigma CLI, including, without limitation, by introducing viruses and other harmful code or by using flood pings, denial-of-service attacks, or similar methods or technology, (h) attempt to probe, scan, or test the vulnerability of Sigma CLI, the Service, or any Sigma system or networks, (i) frame or mirror any part of Sigma CLI or the Service, (j) use Sigma CLI to access or interact with the Service with any credentials other than API Credentials validly issued by Sigma, or (k) use Sigma CLI in any way that permits direct or indirect access to or use of any Service in a way that circumvents usage limits of the Service (including for Sigma APIs).

1.6 Use with AI Agents. If you permit any third-party owned or operated artificial intelligence (AI) tools, applications, or agents (“AI Agents”) to use Sigma CLI or to call, use, and/or interact with Sigma APIs or the Service on your behalf, you understand and agree that you are solely responsible for (a) selecting, controlling, operating, provisioning, configuring, and using such AI Agents, and (b) ensuring that your use of such AI Agent, and any actions and omissions by the AI Agents, comply with this License and the Customer Agreement. AI Agents are considered Third-Party Applications (defined in Section 2.2) that you, at your sole option, choose to use.

1.7 Changes; Suspension. You may stop using Sigma CLI, and delete from your systems and devices all copies of Sigma CLI, at any time in your sole discretion. Sigma reserves the right to change, modify, or discontinue its provision of Sigma CLI (in whole or in part), at any time, without notice to you. You understand and agree that Sigma is not liable for any change to, suspension of, or discontinuation of Sigma CLI.

2. Data and Proprietary Rights.

2.1 Sigma’s Ownership. Sigma CLI, together with all patents, copyrights, trademarks, trade secrets, design rights, database rights, domain names, moral rights, and all other intellectual property rights, whether registered or unregistered, throughout the world in Sigma CLI, Sigma APIs, CLI Service Data, CLI Documentation, and the Service (“Sigma Materials”) belong exclusively to Sigma. Sigma CLI is distributed in binary executable form only and you have no right to obtain or use its source code. This License (a) does not transfer or grant any title or ownership interest in Sigma Materials to you, (b) does not grant you any right to use Sigma’s trade names, trademarks, service marks, or product names, including “Sigma,” “Sigma Computing,” and “Sigma CLI,” except to the limited extent necessary to describe the origin of Sigma CLI or to reproduce the open-source notices in accordance with Section 2.3.

2.2 Third-Party Applications. Sigma CLI may work together with third-party products, services, or applications that are not owned or controlled by Sigma, such as AI Agents (“Third-Party Applications”). SIGMA EXPRESSLY DISCLAIMS ANY AND ALL REPRESENTATIONS OR WARRANTIES RELATING TO ANY THIRD-PARTY APPLICATIONS. YOU WILL LOOK SOLELY TO THE PROVIDERS OF THE THIRD-PARTY APPLICATIONS FOR ANY WARRANTY-RELATED ISSUES OR OTHER CLAIMS RELATED THERETO. SIGMA WILL HAVE NO LIABILITY OR OTHER OBLIGATION OF ANY KIND ARISING OUT OF OR RELATED TO ANY THIRD-PARTY APPLICATIONS, INCLUDING ARISING FROM YOUR USE OR INABILITY TO USE THIRD-PARTY APPLICATIONS OR FROM SIGMA CLI, THE SERVICE, RESULTS, OR OUTPUTS PROVIDED TO YOU BY OR THROUGH THIRD-PARTY APPLICATIONS. If you use Sigma CLI in conjunction with Third-Party Applications, you acknowledge and agree that such Third-Party Applications may be licensed under license terms that contain additional restrictions, beyond those set forth in this License. You are responsible for reviewing such license terms and complying with such license terms for such Third-Party Applications. Sigma does not provide support for any Third-Party Applications.

2.3 Open Source Components. Sigma CLI may include or incorporate software components that are governed by open-source license terms (“Open Source Software”). Your use of such Open Source Software is governed solely by their respective open-source licenses. A list of Open Source Software currently included in Sigma CLI, together with their applicable license terms and copyright notices, is available in the “THIRD-PARTY LICENSES” or “NOTICE” files included in and/or distributed with Sigma CLI. Notwithstanding anything to the contrary in this License, Sigma makes no warranties in respect of Open Source Software in excess of the warranties set forth in the applicable open source license itself, and accepts no liability in respect of Open Source Software in excess of the limitation of liability set forth in the applicable open source license. To the extent required by the applicable open-source licenses, the terms and conditions of such open-source licenses shall apply to the Open Source Software in lieu of this License.

2.4 CLI Service Data. Any data related to operation, performance, maintenance, and use of Sigma CLI is “CLI Service Data,” including user and system action data, tracing records, and API calls made by Sigma CLI, performance metrics, usage telemetry, error logs, troubleshooting records, and metadata related to your use of Sigma CLI. As you use Sigma CLI, Sigma CLI generates and transmits CLI Service Data to Sigma. CLI Service Data may include information about you as a user but will never include Customer Data (as defined in the Customer Agreement). Sigma may use CLI Service Data for any lawful purpose, including to operate, maintain, and improve Sigma CLI and the Service, and to create new services and products.

2.5 Feedback. You may, at your discretion, provide suggestions, ideas, enhancement or correction requests, comments, or other feedback with respect to Sigma CLI, the Service, or Sigma’s other products and services (“Feedback”). You hereby grant to Sigma and Sigma’s assigns a royalty-free, worldwide, perpetual, irrevocable, fully transferable and sublicensable right and license to use, disclose, reproduce, modify, create derivative works from, display, and otherwise distribute and exploit the Feedback, without obligation or restriction of any kind.

2.6 CLI User Information and Credential Security. You are solely responsible for the security of your Credentials and any CLI User Information stored on the devices on which Sigma CLI is installed. “CLI User Information” means any information (except Credentials) that is required for you to use and access Sigma CLI or the Service, including your name, roles, permissions, and IP addresses. You understand and agree that (a) Credentials may not be shared among multiple individuals, (b) following initial authentication, the Credentials will be stored locally on your device in an encrypted form, (c) you are solely responsible for all Credentials in your possession, (d) you must promptly notify Sigma by emailing at legal@sigmacomputing.com if you become aware of any unauthorized use of or access to your Credentials, and (e) Sigma is not liable for any loss or damage arising from your failure to maintain the privacy or security of your Credentials, CLI User Information, systems, and/or devices.

2.7 Privacy. Except for CLI User Information and Credentials, you acknowledge and understand that Sigma does not want or need any personal data, sensitive data, or special category data from you to be able to provide you with Sigma CLI. To the extent Sigma collects, stores, or otherwise processes your personal data under this License, it will do so in accordance with Sigma’s Privacy notice available at https://www.sigmacomputing.com/legal/privacy-policy. As used in this License, “personal data” refers to any information that identifies, relates to, describes, or is reasonably capable of being associated, directly or indirectly, with an identifiable natural person.

3. Support Services and Disclaimer of Warranty.

Sigma has no obligation to provide any support services, maintenance, updates, or error corrections for Sigma CLI or CLI Documentation under this License. Sigma CLI is available for download and installation free of charge, and any support made available by Sigma, in Sigma’s sole discretion, is provided without promises or obligations. SIGMA CLI IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SIGMA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SIGMA DOES NOT WARRANT THAT SIGMA CLI WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS. SIGMA DOES NOT WARRANT ANY RESULTS OF SIGMA CLI, OR HOW YOU USE SUCH RESULTS. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF CERTAIN TYPES OF WARRANTIES. THE FOREGOING DISCLAIMERS WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

4. Limitation of Liability.

You acknowledge and agree that your download, installation, and use of Sigma CLI and CLI Documentation is voluntary. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SIGMA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR: (A) ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL LOSSES OR DAMAGES, (B) ANY LOSS OF REVENUE, PROFIT, BUSINESS, GOODWILL, DATA, OR ANTICIPATED SAVINGS, OR (C) THE COST OF PROCURING SUBSTITUTE SERVICES, IN EACH CASE ARISING OUT OF OR IN CONNECTION WITH THIS LICENSE OR YOUR USE OF OR INABILITY TO USE SIGMA CLI. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SIGMA’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS LICENSE OR SIGMA CLI WILL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100). THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND APPLY WHETHER OR NOT A PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

5. Indemnification.

You will, at your own expense, defend and indemnify Sigma and its affiliates, officers, directors, and employees (each, an “Indemnified Party”) against any third-party claim or action arising out of or relating to: (a) your use of Sigma CLI in breach of this License, (b) your violation of any Applicable Law, or (c) your gross negligence, fraud or willful misconduct. You agree to pay any final judgment awarded by a court of competent jurisdiction or any settlement agreed to in a writing signed by an authorized officer of Sigma.

6. Term and Termination.

This License is effective from the date on which you first download or install Sigma CLI and continues to be in effect until terminated in accordance with this Section 6. You understand and agree that this License and the rights granted to you hereunder shall automatically and immediately terminate if you breach any provision of this License. You further understand and agree that Sigma may, in its sole reasonable discretion, terminate this License at any time for convenience and without the requirement of any notice. You may terminate this License at any time by ceasing all use of Sigma CLI and permanently deleting all copies in your possession or control. Upon termination or expiration of this License, (a) all rights granted to you hereunder cease immediately, (b) you must immediately cease all use of Sigma CLI and uninstall Sigma CLI from all your devices and systems, and (c) you must immediately delete or destroy all copies of Sigma CLI and any CLI Documentation in your possession whether in electronic or printed format. Any Sections of this License that by its nature should survive termination, will survive termination of this License. For avoidance of doubt, TERMINATION OF THIS LICENSE DOES NOT RELIEVE YOU OF OBLIGATIONS THAT AROSE BEFORE THE DATE OF TERMINATION.

7. Governing Law and Dispute Resolution.

READ THIS SECTION 7 CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. THIS LICENSE IS NOT INTENDED TO CONTAIN A COMPLETE EXPLANATION OF THE CONSEQUENCES OF ARBITRATION OR WAIVER OF CLASS ACTIONS.

7.1 Governing Law. Any claims, suits, actions, causes of action, demands or disputes arising out of or related to this License and/or your use (actual or contemplated) of Sigma CLI (“Dispute(s)”) will be governed exclusively by the laws of the State of California, without regard to its conflicts of laws rules or the United Nations Convention on the International Sale of Goods.

7.2 Initial Resolution. Each party will notify the other party in writing of any Dispute within thirty (30) days of the date it arises (“Dispute Notice”), so that the parties can attempt in good faith to resolve the Dispute informally. Your Dispute Notice must include (a) your name, postal address, telephone number, and email address, and (b) a description in reasonable detail of the nature or basis of the Dispute, and (c) the specific relief that you are seeking. Dispute Notices to Sigma must be sent to Sigma Computing, Inc., 116 New Montgomery St., #700, San Francisco, CA 94105, with a copy to legal@sigmacomputing.com. If the parties have not resolved the Dispute within thirty (30) days of delivery of the Dispute Notice, either party may seek to resolve the Dispute through binding arbitration as stated in Section 7.5.

7.3 Excluded Disputes and Lapse. “Excluded Disputes” are Disputes in which either party seeks to bring an individual action in small claims court or seeks injunctive or other equitable relief for the alleged unlawful use of intellectual property. EXCEPT FOR EXCLUDED DISPUTES, YOU AGREE THAT ANY DISPUTE MUST BE COMMENCED OR FILED BY YOU WITHIN (1) YEAR OF THE DATE THE DISPUTE AROSE, OTHERWISE YOU WILL NO LONGER HAVE THE RIGHT TO ASSERT SUCH LAPSED CLAIMS REGARDING THE DISPUTE.

7.4 Jury Trial and Class Action Waiver. EACH PARTY AGREES THAT (A) THEY ARE WAIVING THE RIGHT TO A TRIAL BY JURY, AND THE RIGHT TO JOIN AND PARTICIPATE IN A CLASS ACTION, TO THE FULLEST EXTENT PERMITTED UNDER THE LAW IN CONNECTION WITH OR RELATED TO THIS LICENSE AND ANY USE OF SIGMA CLI, AND (B) THEY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN THEIR INDIVIDUAL CAPACITY, AND NOT AS PART OF A CLASS, REPRESENTATIVE, OR CONSOLIDATED ACTION.

7.5 Binding Arbitration. Subject to Section 7.2 (Initial Resolution) and Section 7.3 (Excluded Disputes and Lapse), either party may initiate binding arbitration as the sole means to resolve any Dispute in accordance with this Section 7.5. The Dispute will be finally settled by a sole arbitrator under binding arbitration administered by Judicial Arbitration and Mediation Services, Inc (“JAMS”) in accordance with the JAMS Streamlined Arbitration Procedure Rules. The arbitration proceedings will be held in English. The venue of arbitration will be San Francisco County, CA. Any award granted by the arbitrator (a) will be subject to Section 4 (Limitation of Liability), (b) may be entered as a judgment in any court of competent jurisdiction, and (c) will be final and non-appealable, to the extent not inconsistent with applicable laws. The arbitrator will award to the prevailing party, if any, costs and attorneys’ fees reasonably incurred by the prevailing party in connection with the arbitration. You may opt out of Binding Arbitration under this Section 7.5 and the waiver under Section 7.4 by sending a written “Opt-Out Notice” to Sigma Computing, Inc., 116 New Montgomery St., #700, San Francisco, CA 94105, with a copy to legal@sigmacomputing.com, within thirty (30) days of your acceptance of this License (i.e., the earliest date that you first download or install Sigma CLI). The Opt-Out Notice must include your name, mailing address, email address, and an unequivocal statement that you are opting out of this arbitration agreement. If you opt out of the waiver under Section 7.4, Sigma also will not be bound by this waiver.

7.6 Venue. The sole and exclusive jurisdiction for any Disputes that are not handled by arbitration will be the state and federal courts located in San Francisco County, CA, and both parties consent to the personal jurisdiction of such courts.

8. General Terms.

8.1 Interpretation. As used in this License, (a) the terms “including,” “include,” and “e.g.” are non-exhaustive and mean “including, without limitation”, (b) references to Applicable Law include all amendments, re-enactments, and successor provisions, and (c) “day” means calendar day unless stated otherwise.

8.2 Amendments. Sigma may amend this License at any time by posting a revised version at https://www.sigmacomputing.com/legal/sigmacli/license, or by otherwise providing notice to you. Your continued use of Sigma CLI after the effective date of any amendment constitutes acceptance of the amended License.

8.3 Export Restrictions. Sigma CLI (or features, portions, or results thereof) may be subject to laws maintained by the US government or other jurisdictions (“Export Control Laws”), including US government’s sanctions, embargoes, prohibitions, or other similar restrictive measures against entities/persons (“Sanctioned Persons”), and countries or regions (“Sanctioned Territories”). You represent and warrant that Sigma CLI (and any exportable, downloadable, or transferable parts, products, or results thereof) are not (and will not, in the future, be) used, accessed, exported, re-exported, transferred, or otherwise made available (directly or indirectly) (a) to any Sanctioned Persons (b) to or in any Sanctioned Territories, or (c) otherwise in violation of Export Control Laws. Each party further represents and warrants that it, and entities or persons who control it are not, Sanctioned Persons or located in Sanctioned Territories.

8.4 Miscellaneous. Neither party will be liable by reason of any failure or delay in the performance of its obligations on account of events beyond the reasonable control of a party, which may include failure by a third-party hosting provider or utility provider, strikes, shortages, riots, fires, acts of God, war, terrorism, and governmental action. No failure or delay by either party in exercising any right under this License will constitute a waiver. No waiver under this License will be effective unless made in writing and signed by an authorized representative of the party being deemed to have granted the waiver. If any provision of this License is held by a court of competent jurisdiction to be contrary to law, the provision will be modified by the court and interpreted so as best to accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions of this License will remain in effect. You may not assign or delegate any of your rights or obligations hereunder, whether by operation of law or otherwise, without the prior written consent of Sigma. Any purported assignment in violation of this Section is void ab initio. The parties are independent contractors. There are no third-party beneficiaries to this License. Sigma may retain and use subcontractors to support or assist with Sigma’s provision of Sigma CLI. This License constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning Sigma CLI. A copy of all notices to Sigma must be sent to legal@sigmacomputing.com.
