These Sigma Event Terms and Conditions (these "Terms") govern your registration for and participation in any conference or event hosted, organized, sponsored, or otherwise managed by Sigma Computing, Inc. ("Sigma") and all various activities associated therewith ("Event(s)"). These Terms are an agreement between Sigma, its affiliates and subsidiaries, ("Sigma," "we," "us," or "our") and you or the entity you represent ("you," or "your"). BY SUBMITTING THE REGISTRATION FORM, REGISTERING FOR AN EVENT, OR OTHERWISE PARTICIPATING IN OR ATTENDING AN EVENT, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. PLEASE READ THESE TERMS CAREFULLY, IT IS A LEGAL AND ENFORCEABLE CONTRACT BETWEEN YOU AND SIGMA.
Prior to attending any Event, you must complete the Event registration process ("Registration") and may be required to pay a registration fee. Unless otherwise specified, you must be at least 21 years of age to attend an Event. We may change the Event program at any time in our sole discretion.
Event fees may apply to your attendance of or participation in an Event. Payment (if applicable) must be provided in the manner provided on the Event registration page or as otherwise required by Sigma. Registration is not confirmed until payment has been received; Sigma reserves the right to cancel your registration without notice for failure to pay applicable fees. Fees are noncancelable and nonrefundable. You are responsible for any taxes applicable to your payment of Event attendance or registration fees. If you have purchased or received a promotion code, such codes may not be shared or provided to anyone outside the entity you represent. Only one (1) code can be applied per registration. Sigma reserves the right to cancel or impose conditions on any promotion.
There are no refunds or credits for no‑shows, however Sigma, in its sole discretion, may permit a refund or substitution of your registration fee for certain Events to another person within the entity you represent. Payments made for one Event may not be applied toward the purchase of any other Event. Sigma is not responsible for any damages, direct or indirect, resulting from any canceled registration or impermissible substitution.
We will process your contact details and other personal information we collect in accordance with these Terms and Sigma’s Event Privacy Notice.
You agree that Sigma may use the information you submit during Registration, during the Event, or otherwise in connection with your participation in an Event (collectively "Submitted Information") to send you updates and requests for Feedback (as defined below) regarding the Event. You also agree that Sigma may use and disclose your Submitted Information to (i) Sigma’s third‑party service providers, as required to complete your Registration, or host, manage, organize, or deliver the Event, and (ii) third-parties that co-sponsor the Event or otherwise partner with Sigma to host, organize, deliver, or manage the Event (collectively (i) and (ii) are the "Event Partners").
You may be required to wear a badge or show a pass to attend the Event. These badges and/or passes may record your attendance and participation in the Event (including visiting booths and attending sessions). You authorize Sigma to disclose your Submitted Information to Event Partners (a) when you scan your badge/pass, elect to visit an Event Partner’s booth, or attend any in-person or virtual sessions or other activities at an Event involving Event Partners (in which case we would provide your Submitted Information only to the Event Partners involved in such session or other activity,) and/or (b) you opt-in during Registration or otherwise opt-in during the Event to receive communications from our Event Partners. Sigma is not responsible for the privacy practices of any Event Partner or other third party, and such Event Partners/third-parties will process your Submitted Information in accordance with their own privacy policy. Please contact the Event Partners or third parties to learn more about their privacy practices with respect to your Submitted Information processed by them or to unsubscribe from their marketing communications.
You grant to Sigma an irrevocable, nonexclusive, royalty-free right and license throughout the world and in perpetuity to reproduce, edit, publish, distribute or translate, for advertising, publicity and promotional purposes or for any other purpose relating to Sigma’s business, all or any part of the following ("Materials"): (a) photographs and all audio and video recordings that Sigma or its independent contractors make of you or your voice or likeness in connection with an Event, including the right to use your name, likeness and biographical information, and (b) all materials (electronic or hard copy) submitted or presented by you in connection with an Event. You hereby waive "moral rights" in such Materials.
If you are selected to be a speaker, panelist, or participant in any session at the Event (a "Speaker"), the following terms also apply:
Speaker grants to Sigma a limited, royalty-free non-exclusive, worldwide, perpetual, and revocable license and right to use and publicize Speaker’s name, voice, photograph, likeness, biographical information, job title, and employer on Sigma’s websites and other public facing documents (such as marketing materials, ads, presentations, blogs, social media, etc.) and other promotional materials that are reasonably related to the event ("Documents").
Speaker grants to Sigma a limited, royalty-free non-exclusive, worldwide, perpetual, and revocable license and right to use, distribute, display, modify, and publish any materials that Speaker provides in connection with the Event. Speaker represents and warrants that these materials do not (i) violate or misappropriate any intellectual property rights of any third party, and (ii) do not violate or breach any agreement of any customer or any other person.
Speaker acknowledges that Speaker will not be compensated for Speaker’s participation in the Event, unless otherwise agreed to in writing by Sigma.
You understand that you and your property may be subject to a reasonable search upon entry to the Event and you may be asked to verify your identity. If you refuse, we may deny you entry to the Event. We also reserve the right to ask you to leave the Event for any lawful reason, including if your behavior causes us concern for the safety or security of Event attendees. If we deny you entry or require you to leave, you will not receive a refund.
Sigma is dedicated to providing a harassment-free and inclusive event experience for everyone regardless of gender identity and expression, sexual orientation, disabilities, ethnicity, nationality, race, age, religion, or other protected categories. We do not tolerate harassment of event participants in any form. Sigma takes violations of these Event Terms seriously and will respond appropriately, including by asking you to leave the Event.
You acknowledge and agree that your attendance and participation in an Event is voluntary. You agree to assume the risks associated with attending and participating in an Event to the fullest extent permitted by applicable law. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY EXPRESSLY AGREE TO RELEASE SIGMA, ITS OFFICERS, DIRECTORS, EMPLOYEES, VENDORS, PARTNERS, AGENTS AND CONTRACTORS, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, "RELEASEES") FROM ANY AND ALL ALLEGED AND/OR ACTUAL LIABILITY, CLAIMS, ACTIONS, LAWSUITS, DAMAGES AND LOSSES OF ANY KIND WHICH ARISE OUT OF OR RESULT FROM YOUR ATTENDANCE AT AND PARTICIPATION IN THE EVENT, THE MATERIALS, AND ANCILLARY ACTIVITIES, WHETHER OR NOT FORESEEABLE, AND WHETHER ARISING OUT OF THE ORDINARY NEGLIGENCE OF SIGMA OR ANY RELEASEES OR OTHERWISE. YOU COVENANT NOT TO MAKE OR BRING ANY SUCH CLAIMS AGAINST SIGMA OR ANY OTHER RELEASEE, AND FOREVER RELEASE AND DISCHARGE SIGMA AND ALL OTHER RELEASEES FROM LIABILITY UNDER SUCH CLAIMS. THIS WAIVER AND RELEASE DOES NOT EXTEND TO CLAIMS FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR ANY OTHER LIABILITIES THAT CALIFORNIA LAW OR OTHER APPLICABLE LAW DOES NOT PERMIT TO BE RELEASED BY AGREEMENT.
SIGMA WILL NOT BE LIABLE TO YOU, WHETHER IN AN ACTION BASED ON A CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY) OR ANY OTHER LEGAL THEORY, HOWEVER ARISING, FOR (A) INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, OR (B) LOST PROFITS, REVENUE, CUSTOMERS, OPPORTUNITIES, OR GOODWILL. SIGMA’S AGGREGATE LIABILITY UNDER THESE EVENT TERMS WILL NOT EXCEED THE EVENT REGISTRATION FEES, IF ANY, PAID OR PAYABLE BY YOU TO SIGMA FOR THE EVENT GIVING RISE TO THE LIABILITY. THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND APPLY WHETHER OR NOT A PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
You may, at your discretion, provide suggestions, ideas, enhancement or correction requests, comments, or other feedback with respect to the Event, our products, or our Services ("Feedback"). You hereby grant to Sigma royalty-free, worldwide, perpetual, irrevocable, fully transferable and sublicensable right and license, if any, to use, disclose, reproduce, modify, create derivative works from, display, and otherwise distribute and exploit the Feedback, without obligation or restriction.
These Terms, and any disputes arising out of or related hereto, will be governed exclusively by the internal laws of the State of California, without regard to its conflicts of laws rules or the United Nations Convention on the International Sale of Goods. The parties acknowledge that these Terms evidences a transaction involving interstate commerce. The state and federal courts located in San Francisco, California will have exclusive jurisdiction to adjudicate any dispute arising out of or relating to these Terms or its formation, interpretation, or enforcement.
No failure or delay by us in exercising any right under these Terms will constitute a waiver of that right. No waiver under these Terms will be effective unless made in writing and signed by an authorized representative of us.
These Terms will be enforced to the fullest extent permitted under applicable law. If any provision of these Terms is held by a court of competent jurisdiction to be contrary to law, the provision will be modified by the court and interpreted so as best to accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions of these Terms will remain in effect.
We will not be liable by reason of any failure or delay in the performance of our obligations on account of events beyond the reasonable control of us that make it impossible or commercially impracticable for us to perform our obligations hereunder, which may include strikes, shortages, pandemics, riots, fires, acts of God, war, terrorism, and governmental action.
You will not assign or otherwise transfer these Terms or any of your rights and obligations under these Terms, without our prior written consent. Any assignment or transfer in violation of this section will be void. We may assign these Terms without your consent. Subject to the foregoing, these Terms will be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns. There are no third-party beneficiaries to these Terms; a person who is not a party to these Terms may not enforce any of its terms under any applicable law.
We may modify these Terms at any time by posting a revised version on the Sigma website. The modified terms will become effective upon posting. By attending the Event after the effective date of any modifications to these Terms, you agree to be bound by the modified terms.
These Terms, including all referenced pages, if applicable, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.
