Deal Registration
Partner will register all deals with End Users using the Sigma Partner Deal Registration Form, or in some other manner specified by Sigma to Partner from time to time (email will suffice).
Incentive Payments:
Partner will receive Incentive Payments based on the level of effort and involvement in sales/licenses/subscriptions to End Users as follows:
- Partner will receive an Incentive Payment of fifteen percent (15%) of the Net Annual Contract Value (ACV) for each Qualified Referral that executes an agreement with Sigma for Products (“Referral Incentive”). This incentive will only be paid to Partner if such agreement is executed within ninety (90) days of the introduction by Partner to the Qualified Referral. Unless otherwise agreed to by Sigma, Partner will only receive an Incentive Payment on the Net Annual Contract Value (ACV) to be received by Sigma on the first 12 months of the term of the first ordering document Sigma enters into with a Qualified Referral.
- Partner will receive an Incentive Payment of five percent (5%) of Net Annual Contract Value (ACV) for each Opportunity Influence by Partner (“Influence Incentive”). Unless otherwise agreed to by Sigma, Partner will only receive an Incentive Payment on the Net Annual Contract Value (ACV) to be received by Sigma on the first 12 months of the term of the first ordering document Sigma enters into with the End User.
- Partner is responsible for invoicing Sigma for any properly due Incentive Payments. Upon receiving a correct invoice from Partner for an Incentive Payment, Sigma will pay such invoice within thirty (30) days of receipt thereof. All invoices must be sent to ap@sigmacomputing.com in order to be paid. Incentive Payments for each opportunity must be separately invoiced and include following information: Account Name, opportunity ID, Sigma ACV amount, Incentive Payment %, final Incentive Payment amount, and opportunity close date. Such information can be found in a workbook that Sigma may provide to Partner from time to time, or as otherwise provided to Partner by Sigma. Partner will be invited via email to view the appropriate workbook within Sigma’s Product. If Partner has trouble accessing such workbook Partner must email their Partner Account Manager or email sipartnerships@sigmacomputing.com. Sigma is not responsible for Partner’s failure to properly access the workbook Sigma invites Partner to view.
Definitions:
- “Incentive Payment” means an Influence Incentive or a Referral Incentive, as applicable.
- “Net Annual Contract Value (ACV)” means the actual U.S. dollar value of all revenue to be received by Sigma from the subscription or licensing of Products to an End User in the first year of such End User’s subscription to the Products minus adjustments for allowances, taxes, or assessments (whether VAT or otherwise), discounts, rebates, returns or bad debts, costs paid to third parties or government agencies and other costs incurred by Sigma.
- “Opportunity Influence” means a Sigma sales opportunity where Sigma determines that Partner contributes meaningful selling engagement in support of the Sigma Account Executive during the sales cycle, either for the initial sale or any follow-on and renewal sales to an End User. Meaningful selling engagement means that Sigma determines the Partner participated in a substantial portion of the selling motion and in co-selling activities that influenced the opportunity to close. Sigma Account Executives are responsible for determining a partner’s level of participation on any given opportunity.
- A potential End User will be deemed “Qualified” when Partner submits a Deal Registration to Sigma and such deal registration is accepted by Sigma in writing. Such designation by Sigma will be in Sigma’s sole discretion.
- “Qualified Referral” means a potential End User that is Qualified by Sigma and where (a) Partner introduces the potential End User to Sigma, (b) Partner made the first contact with the potential End User, (c) Sigma had no previous contact with the potential End User prior to the introduction, (d) Sigma has not previously Qualified such potential End User, (e) the potential End User is not a current subscriber to the Service (unless Partner is selling more Products to such potential End User as permitted under this Agreement). This applies to both the initial sale and any follow on and renewal sales to customers. Each Deal Registration for a Qualified Referral accepted by Sigma in writing shall be valid for ninety (90) days and then automatically expire unless the parties agree in writing to the extent such Deal Registration for some additional period.
